These Terms of Service ("Terms") are a binding agreement between you and Lorincz LLC, a California limited liability company ("Lorincz," "we," "us"), the operator of the hosted service at diagraff.com ("Diagraff" or the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
These Terms govern the hosted service only. The Diagraff source code is offered separately under the MIT License; nothing here limits your rights under that license for the code itself.
You must be at least 13 years old (or the age of digital consent in your jurisdiction) and able to form a binding contract. If you use the Service on behalf of an organization, you represent that you are authorized to bind it to these Terms. Acceptance is recorded at signup, and continued use constitutes ongoing acceptance.
Diagraff lets you create, store, render, and share diagrams. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the hosted Service subject to these Terms. You are responsible for your account credentials and for all activity under your account. The Service may operate under beta or evolving feature sets; features and limits may change with reasonable notice.
You retain ownership of the diagrams and other content you create or upload ("Your Content"). You grant Lorincz a worldwide, non-exclusive license to host, store, process, render, and display Your Content solely to operate and provide the Service to you (and to those you share it with).
You represent and warrant that you have all rights necessary to your Content, including content you import from third-party services such as Mermaid Chart, and that Your Content does not infringe any third party's intellectual-property, privacy, or other rights. You are solely responsible for the legality of content you create, import, or share. You may export Your Content at any time (SVG, PNG, or source).
If you believe content on the Service infringes your copyright, contact support@diagraff.com with details and we will respond to valid notices, including removal of infringing material and termination of repeat infringers where appropriate.
Your use of the Service is subject to our Acceptable Use Policy. In short: don't break the law, abuse or overload the Service, circumvent limits or security, or infringe others' rights. We may suspend or terminate accounts that violate these Terms or that policy.
The Service integrates optional third-party services that you choose to use, under their own terms:
Mermaid Chart. Diagraff offers an import from Mermaid Chart (mermaid.ai). Mermaid Chart, Inc. is a separate, independent company; Lorincz LLC and Diagraff are not affiliated with, sponsored by, endorsed by, or operated by Mermaid Chart, Inc. When you connect Mermaid Chart, you do so with your own credentials, and your use of Mermaid Chart is governed by Mermaid Chart's own terms and privacy policy. "Mermaid Chart" and "Mermaid" are marks of their respective owners; we use them only to describe interoperability. The open-source Mermaid renderer is used under the MIT License — see Licenses.
Payments (Stripe), AI providers, and hosting. Billing is processed by Stripe; AI features may use the provider key you supply (bring-your-own-model) or a provider we configure; the Service is hosted on third-party infrastructure. Your use of these is subject to the respective providers' terms, and we are not responsible for them.
Free and paid plans are available with different features and usage limits, which are operational defaults and may change with reasonable notice. Except where required by law, fees are non-refundable. You authorize us (via Stripe) to charge your payment method for applicable fees and taxes.
AUTOMATIC RENEWAL — PLEASE READ. Paid subscriptions are automatic-renewal / continuous-service plans. When you subscribe, your plan automatically renews at the end of each billing period (monthly or annual, as selected) and your payment method is charged the then-current price until you cancel. There is no separate renewal action required from you. You can cancel at any time, effective at the end of the current period, from Settings → Subscription (Manage Subscription) or by emailing support@diagraff.com. We will send a purchase acknowledgement with these renewal terms and, for annual plans, a reminder before each renewal, consistent with California's Automatic Renewal Law.
The Service is provided on an "as available" basis. We do not guarantee any uptime or service level unless separately agreed in writing. Scheduled and unscheduled maintenance, changes, and outages may occur. Keep your own backups/exports of important content.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any AI-generated or rendered output is accurate or fit for your purposes.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LORINCZ LLC AND ITS OWNERS, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50.
To the extent permitted by law, you release Lorincz LLC from claims arising out of content you create, import, or share, your use of third-party services, and your reliance on AI-generated or rendered output. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.
You agree to defend, indemnify, and hold harmless Lorincz LLC from claims, damages, and expenses (including reasonable legal fees) arising from your Content, your use of the Service, your violation of these Terms, or your infringement of any third party's rights.
You may stop using the Service and delete your account at any time. We may suspend or terminate access for violations of these Terms, legal requirements, or to protect the Service or other users. We may remove inactive accounts after prior notice. Sections that by their nature should survive termination (e.g., IP, disclaimers, liability, indemnification, governing law) survive.
We may update these Terms from time to time. The current version identifier appears at the top of this page. For material changes we will provide reasonable notice via the Service or email where possible; continued use after changes take effect constitutes acceptance.
These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. You and Lorincz LLC submit to the exclusive jurisdiction of the state and federal courts located in California for any dispute not subject to arbitration or small-claims court, except where applicable law provides otherwise. Nothing in these Terms limits any non-waivable rights you have under California law.
